Welcome to Whoo.is. These Terms of Service ("Terms") govern your access to and use of the Whoo.is website located at https://whoo.is and the Whoo.is application located at https://app.whoo.is (collectively, the "Service"), operated by Whoo.is ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Account Creation and Eligibility

To use certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your login credentials and not share them with any third party.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately if you suspect any unauthorized use of your account.

You must be at least 13 years of age to use the Service. If you are under 18, you must have the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Description of Service

Whoo.is is a professional online presence platform that allows users to:

• Create and host a personalized professional landing page at a unique URL (e.g., whoo.is/username).
• Upload and manage resumes and professional documents.
• Generate AI-powered resumes, cover letters, and professional content.
• Generate AI professional headshots.
• Write and publish career blog posts.
• Track job applications.
• Use custom domain names for their professional profile.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
• Impersonate or attempt to impersonate another person or entity, or misrepresent your affiliation with any person or entity.
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Upload, post, or transmit any content that infringes on the intellectual property rights of any third party.
• Use the Service to distribute spam, unsolicited promotional material, or any form of automated messaging.
• Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service.
• Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.
• Use any automated means, including bots, crawlers, or scrapers, to access the Service for any purpose without our express written permission.
• Create false, misleading, or fraudulent professional profiles or credentials.

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice, for any conduct that we determine, in our sole discretion, to be in violation of these Terms or harmful to other users, us, or third parties.

4. Intellectual Property

4.1 Your Content

You retain all ownership rights to the content you create, upload, or submit through the Service ("User Content"), including but not limited to resumes, profile information, blog posts, photographs, and other materials. By submitting User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service to you.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to submit your User Content and to grant us the license described above.

4.2 Our Content

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Whoo.is. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

4.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

5. AI-Generated Content

The Service uses artificial intelligence (powered by OpenAI) to generate certain content, including but not limited to resume summaries, cover letters, blog posts, profile descriptions, and professional headshots. You acknowledge and agree that:

• AI-generated content is provided "as is" and may contain inaccuracies, errors, or content that does not fully reflect your actual qualifications, experience, or likeness.
• You are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing or using it for any purpose.
• We do not guarantee the accuracy, completeness, quality, or suitability of any AI-generated content for any particular purpose.
• AI-generated headshots are artistic renderings and may not constitute an accurate representation of your appearance. You should not use AI-generated headshots in contexts where an authentic photograph is required (e.g., official identification documents).
• You assume all responsibility for the use of AI-generated content, including any consequences arising from its use in job applications, professional communications, or public-facing profiles.
• We are not liable for any decisions made by third parties (such as employers or recruiters) based on AI-generated content displayed on your profile.

6. Subscription and Billing

6.1 Plans and Pricing

The Service offers a free tier with limited features and paid subscription plans (including a Pro plan) with enhanced functionality. Current pricing and feature details are available on our pricing page. We reserve the right to change our pricing at any time, with reasonable notice provided to existing subscribers.

6.2 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's Terms of Service. We do not store your full credit card information on our servers.

6.3 Billing Cycle

Paid subscriptions are billed on a recurring monthly basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You can cancel your subscription at any time through your account settings at app.whoo.is.

6.4 Refunds

Subscription fees are generally non-refundable except where required by applicable law. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period. One-time purchases (such as AI headshot packages) are non-refundable once processing has begun.

6.5 Free Tier

The free tier provides limited access to the Service. We reserve the right to modify, limit, or discontinue the free tier at any time without notice.

7. Termination

7.1 Termination by You

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Upon termination, your right to use the Service will immediately cease.

7.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

7.3 Effect of Termination

Upon termination of your account:

• Your public profile page will be deactivated and will no longer be accessible at your personalized URL.
• We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.
• You may request deletion of your data in accordance with our Privacy Policy.
• Any provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will function uninterrupted, securely, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHOO.IS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service, including AI-generated content.
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Whoo.is and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or your User Content.

11. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to Supabase (authentication and data storage), Stripe (payment processing), OpenAI (AI content generation), Cloudflare (hosting and content delivery), and Google Analytics (usage analytics). Your use of the Service may be subject to the terms and policies of these third-party providers. We are not responsible for the practices or content of any third-party services.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of New York, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by sending you an email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of Whoo.is.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Whoo.is regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements.
